South Boulder Mines Ltd was incorporated in Western Australia on 21 August 2001 for the purpose of acquiring, exploring and developing quality resource projects.

The Company lodged a Replacement Prospectus with ASIC on 13 August 2003. This Replacement Prospectus replaced the Prospectus lodged with ASIC on 4 August 2003.

The Offer (17,500,000 shares at 20 cents to raise $3,500,000) opened on 21 August 2003, and closed over-subscribed on 8 October 2003.
